Corporate Transactions and Tax Planning. The firm’s attorneys in the International Law Group are currently engaged in a variety of significant corporate matters, which include advising clients on new product certifications in the European Union and Canada; acquisitions and sales of businesses abroad; and negotiating vendor relationships between manufacturers and their worldwide suppliers. We also assist in preparing and negotiating international joint venture, distribution, licensing and sales agreements, and other forms of commercial agreements.
The tax group has been involved in major restructuring of foreign holdings to save U.S. taxes for U.S.-based companies. We also design legal structures for foreign clients who are involved in U.S. transactions to minimize home-country taxation.
To better assist our clients, we frequently work with international accounting firms and foreign counsel to assist multinational companies set up foreign affiliates and minimize tax exposure and determine appropriate inter-company pricing. We assist foreign nationals in tax and estate planning related to their relocating.
Immigration. Our immigration group represents multinational companies in connection with the transfer of key executives to the United States, as well as in securing critical talent from abroad. We offer additional expertise in mergers and acquisitions to maintain seamless work authorizations for foreign national employees. We belong to a network of international lawyers to deliver such services abroad, as well as in the United States.
Intellectual Property. Our attorneys and their network of foreign associates can provide an entire range of legal assistance in intellectual property law, including the preparation and prosecution of international patent and trademark applications, and undertaking customs actions with respect to the monitoring and importation of infringing goods. Our attorneys also represent clients in connection with world wide licensing and acquisitions of intellectual property.
Litigation and Arbitration of International Business Disputes. Our litigators have represented domestic and non-U.S. clients in complex commercial litigation in disputes associated with international trade and investments. These litigation and arbitration cases involved conflicts related to mergers and acquisitions, lender liability, intellectual property, securities, antitrust, breach of contract, environmental law, banking, and real estate. We routinely provide counsel on choice of law and forum, enforcement of judgments, scope and enforceability of arbitration agreements, and the U.N. Convention on Contracts for the International Sale of Goods.
