Gary Karl has extensive experience in a wide range of financing, corporate, commercial, and securities transactions. He has provided ongoing representation for numerous corporations, private equity fund sponsors, businesses, and financial institutions in a variety of contexts. Gary is the firm's training partner, as well as chairman of the firm's Opinion Committee. Recent transactions have included:

• Serving as lead transaction counsel in connection with development and implementation of the Chapter 11 plan of reorganization for Crouse Hospital.
• Representing financial institutions in connection with structuring, negotiating, and documenting commercial loan transactions.
• Representing a group of secured lenders in enforcing their liens in the notorious Bennett Funding bankruptcy case.
• Representing the lead underwriters in Monroe County’s tobacco-settlement asset-backed, tax-exempt financing transaction.
• Serving as securities counsel for a publicly held bank holding company, advising with respect to the requirements of both the Securities Act and the Exchange Act and in connection with its merger into another public company.
• Serving as lead transaction counsel for several 501(c)(3) entities in connection with tax-exempt financing.
• Extensive experience in the area of mergers and acquisitions on behalf of publicly held companies.
• Ongoing representation of several substantial professional services firms in financing transactions.
