

As a member of the employee benefits and executive compensation group, Amanda assists businesses and not-for-profit entities with their employee benefit programs. Her experience includes advising clients regarding the design, administration and compliance issues associated with an array of employee benefit plans such as qualified retirement plans, nonqualified deferred compensation plans, incentive compensation plans, and health and welfare plans. Amanda counsels clients regarding compliance with the requirements of ERISA, HIPAA, Medicare, and COBRA. She has experience preparing plan documents, summary plan descriptions and other benefit communications for qualified plans and welfare plans.
In addition, Amanda has experience counseling public and private, U.S. and international, companies regarding compliance with the federal and state securities laws implicated when granting shares and other awards under equity compensation plans. She assists clients in drafting the securities filings required to register such shares and awards with the SEC and the U.S. states and advises public companies regarding SEC disclosure of director and executive compensation and employee benefit arrangements in their annual proxy statements. With a diverse background as a securities and an employee benefits and executive compensation attorney, Amanda is able to counsel clients regarding the interplay between the two types of law.
While attending SUNY Buffalo Law School, Amanda was a judicial extern for U.S. Magistrate Judge Leslie G. Foschio in the U.S. District Court, Western District of New York.
