Our Corporate practice area is a multidisciplinary practice dedicated to providing publicly and closely held companies with comprehensive counseling and assistance with a broad range of business and regulatory issues.

We offer a full range of general business and corporate legal services, assisting clients in the implementation and operation of their business ventures.

Attorneys in the group provide focused services in, among others, securities law, health care law, trade regulation and antitrust law, mergers and acquisitions, telecommunications, intellectual property, and representation of Public Finance and not-for-profit institutions. They also work closely with the firm’s tax, commercial/bankruptcy, intellectual property, litigation, real estate, and environmental attorneys to identify issues, solve current problems, and inform clients of legal developments that may affect business operations and decisions.

Working with the firm’s Employee Benefits and Labor and Employment practice areas, attorneys in the practice assist in the development of employment agreements and retirement plans, and address other human resources issues, policies and practices.

Attorneys in the practice also coordinate their efforts on behalf of our clients with the firm’s Trusts and Estates practice area to ensure that a company’s shareholders, members, partners, officers, and directors have their individual planning needs met, particularly as those concerns relate to succession planning.

Attorneys in the practice assist founders and investors in selecting, forming, organizing, and capitalizing corporations, partnerships, trusts and limited-liability entities to provide favorable benefits from a tax, securities, and corporate-control perspective.

Negotiating and Drafting Corporate Control and Succession Documentation
To ensure that the ownership and control of the entity is within the desired parameters, attorneys in the practice negotiate and draft the appropriate documentation in the form of partnership agreements, limited-liability company operating agreements, buy-sell agreements, shareholder agreements, voting agreements, voting trusts and proxies.
